Terms and Conditions

1. Scope of Application

(1) These General Terms and Conditions govern the contractual relationship between TransCompass – Training, Consulting & Business Services, Hanauer Landstr. 87, 60314 Frankfurt, hereinafter referred to as "TransCompass," and consumers, business entities, and legal entities under public law, hereinafter referred to as "Clients."
(2) These terms apply to all services provided by TransCompass in the context of seminars, lectures, courses, training sessions, workshops, and any other type of educational event, hereinafter referred to as "Events."
(3) The inclusion of your own terms and conditions is expressly rejected unless we have agreed to their validity in writing. These GTC shall also apply if we render services with knowledge of conflicting or deviating conditions without reservation. Acceptance of services by you constitutes acceptance of these GTC, and you waive the validity of your own terms. These GTC shall also apply to future business relationships with business entities.

2. Conclusion of Contract

(1) You may register for our Events in writing or via online form. Your registration constitutes a binding offer to enter into a contract. The service descriptions for our Events on www.transcompass.de at the time of your registration are binding.
(2) After submitting your offer, you will receive an automatically generated email confirming receipt of your booking. This does not yet constitute a contract. The contract is only concluded through our express confirmation in text form (within two weeks). Participation is limited; registrations are considered in order of receipt. No legal entitlement to participation exists.
(3) We carefully review and regularly update the information provided on our website. However, we do not guarantee that all information is complete, correct, and up-to-date at all times. This applies in particular to links to other websites. Information may be added, removed, or changed without notice.
(4) TransCompass reserves the right to make necessary content-related, methodological, or organizational changes (e.g. due to legal changes) before or during the Event, and to replace advertised speakers if necessary (e.g. illness or accident) with equally qualified individuals.
(5) For in-house seminars and consulting services, we provide a written offer, which the Client accepts with a legally binding signature. The contract is concluded upon signature.

3. Payment

(1) All stated prices are exclusive of statutory VAT unless expressly stated otherwise. Travel, accommodation, and catering costs are not included unless specifically stated.
(2) Payment of participation fees or agreed fees is due immediately upon receipt of invoice (by post, email, or fax) and must be made at the latest by the start of the Event. If payment is not received, we reserve the right to deny participation or withhold services.

4. Cancellation of Events / Liability of TransCompass

(1) TransCompass reserves the right to cancel Events up to 14 days before the start date due to insufficient demand/participants or for other important reasons beyond our control (e.g. sudden illness of the speaker, force majeure). We will inform you immediately and either refund fees already paid or offer an alternative date.
(2) Any further liability or compensation claims (such as travel and accommodation costs, loss of income, lost profits) are excluded unless the claim involves injury to life, body, or health or is based on intent or gross negligence on our part. Please consider this when booking transport or accommodation.
(3) In the event of a breach of material contractual obligations due to slight negligence by TransCompass, our legal representatives, or agents, liability is limited to foreseeable damages typical for the contract. Otherwise, liability for damages is excluded.

5. Withdrawal or Rebooking by the Participant / Cancellation Fees

(1) You may withdraw from the contract at any time. The withdrawal must be made explicitly in writing and sent to:

(2) Cancellations up to 4 weeks before the start of the Event are free of charge. For cancellations within 4 weeks, a 15% fee applies; within 2 weeks, a 25% fee applies. The date we receive your cancellation is decisive.
(3) If you do not use parts of the Event after it has started for reasons attributable to you, there is no right to a partial refund.
(4) If the Event is endangered or rendered impossible due to force majeure (e.g. natural disasters, official orders, safety risks), TransCompass may terminate the Event early and offer equivalent replacement services or an alternative date. In the event of rescheduling, you may withdraw from the contract free of charge by notifying us in writing.

 

6. Right of Withdrawal

If you are a consumer under § 13 BGB (German Civil Code), you also have a right of withdrawal. See the separate notice at www.transcompass.de.

7. Copyright / Audio and Video Recordings

(1) All materials distributed in seminars and workshops, and the style of presentations, are protected by copyright and may not be reproduced, passed on to third parties, made publicly accessible, or otherwise distributed without prior consent.
(2) Photo, video, and audio recordings may be made during Events. By participating, you grant TransCompass permission to use these recordings for private and commercial purposes. You have the right to object in advance. In this case, exclusion from participation may apply. Objections after the Event are not possible.

8. Data Protection / Data Storage

TransCompass takes the protection of your data seriously. See our Privacy Policy at www.transcompass.de.

 

9. Confidentiality Obligation

(1) Both the Client and TransCompass agree to maintain confidentiality regarding all circumstances and information learned through this business relationship, particularly regarding company information and business operations.
(2) The Client agrees to treat all data and information received confidentially and not to use it to circumvent TransCompass (e.g. by contacting third parties directly). In the event of a breach, the Client will be liable for damages. This obligation remains in effect after the contract ends.

10. Severability Clause / Written Form

Should any provision of these terms be invalid, the remaining provisions remain binding. Amendments or additions must be in writing; this also applies to this written form clause.

11. Applicable Law

(1) All legal relationships are governed exclusively by the laws of the Federal Republic of Germany, excluding the international sale of goods (CISG). This also applies to consumer contracts, unless Art. 29 EGBGB provides otherwise.
(2) If the Client is a merchant or a legal entity under public law, the exclusive place of jurisdiction for all disputes shall be our business location.
